Terms of service.

These terms govern projects commissioned to Matteo Misiani (hereinafter "the provider") via matteomisiani.studio. They apply in addition to the contract/spec signed for each specific project.

Scope of service

The provider delivers custom software development services: websites, web apps, subscription systems, internal dashboards, AI integrations. The exact scope is defined in the written spec delivered within 24h of the initial call and accepted by the client before work begins.

Payments

40% deposit upon spec confirmation. 60% on delivery of the project, simultaneously with code transfer. Payment via SEPA wire or Stripe (card). Proper invoicing with Italian VAT number.

Intellectual property

All code written on commission belongs to the client upon final payment. The provider retains the right to mention the project (at the technology and category level, not business logic) in their portfolio, except where an explicit NDA applies. Third-party open-source libraries remain under their respective licenses.

Timing

The delivery date is written in the spec and is binding except for force majeure or client-requested changes. Scope variations during work require a spec and timing revision.

NDA and confidentiality

The provider treats all business information shared by the client as confidential. A standard mutual NDA is available on request, signable before the initial call.

Limitation of liability

The provider is not liable for indirect losses, lost profit, or reputational damage arising from use of the delivered software. Maximum liability is limited to the amount paid for the specific project.

Jurisdiction

For any dispute the competent court is that of Rome, except where otherwise agreed in writing. Italian law applies.
