Terms of service.

These terms govern the services provided by Matteo Misiani (VAT 18601291000) via matteomisiani.studio. They apply in addition to what is agreed in writing for each individual project.

Scope

matteomisiani.studio provides custom software development services: websites, web apps, automations and SaaS systems.

How we work

• Every project starts with a free intro call.
• Scope and price are agreed in writing before work begins.
• During the build the client receives daily updates and repository access.
• The code becomes the client's property on final payment.

Payments

• 40% deposit to start the project.
• 60% balance on delivery.
• Payment via bank transfer or other agreed methods. Invoicing with Italian VAT number.

Intellectual property

• The source code produced becomes the client's exclusive property upon full payment.
• Matteo Misiani reserves the right to mention the project in their portfolio, unless otherwise agreed in writing.
• Third-party open-source libraries remain subject to their respective licenses.

Delivery guarantee

• The delivery date is agreed in writing.
• In case of delay attributable to the studio, an agreed daily amount is refunded.

Limitation of liability

• The studio is not liable for indirect damages or loss of profit.
• Maximum liability is limited to the fee actually received for the project.

Governing law

Italian law applies. For any dispute the competent court is that of Rome.
